1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and VerdantVoucher ("we," "us," or "our"). By accessing or using our Services, you confirm that:

• You have read and understand these Terms;
• You agree to be bound by these Terms;
• You are at least 18 years of age or have the legal consent of a parent or guardian;
• You have the legal capacity to enter into this agreement.

If you are using our Services on behalf of a company, organization, or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you should discontinue your use of our Services.

We will make reasonable efforts to notify you of significant changes to these Terms by posting a notice on our website or sending you an email notification.

3. Account Registration

3.1 Account Creation

Some features of our Services require you to create an account. When registering for an account, you agree to provide accurate, current, and complete information and to update this information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Create a strong password and keep it confidential;
• Log out of your account at the end of each session;
• Notify us immediately of any unauthorized access to or use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

4. Gift Card Terms

4.1 Gift Card Value

Our gift cards have a monetary value that can be redeemed at participating retailers. The monetary value of a gift card does not expire, except where permitted by applicable law.

4.2 Educational Content

Our gift cards include access to educational content related to sustainable consumption. Access to this educational content is valid for 24 months from the date of redemption, after which access may expire.

4.3 Redemption

To redeem a gift card, you must:

• Create or log in to a VerdantVoucher account;
• Enter the unique redemption code found on your gift card;
• Follow the instructions provided to access your educational content and monetary value.

4.4 Limitations

Gift cards:

• Cannot be redeemed for cash, except where required by law;
• Cannot be returned or refunded once the redemption code has been revealed or used;
• May be subject to additional terms and conditions of participating retailers;
• Are void if sold for cash or other consideration.

4.5 Lost or Stolen Cards

We are not responsible for lost, stolen, or damaged gift cards or redemption codes. However, if you have registered your gift card with your account, we may be able to assist with replacing the card or code, subject to verification.

5. Intellectual Property Rights

5.1 Our Content

The Services, including all content, features, and functionality (including but not limited to text, graphics, images, videos, educational materials, logos, and software), are owned by VerdantVoucher, our licensors, or other providers and are protected by United States and international copyright, trademark, patent, and other intellectual property or proprietary rights laws.

5.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use. This license does not include any resale or commercial use of our Services or its contents.

5.3 Restrictions

You may not:

• Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, or otherwise exploit any of the material on our Services, except as expressly permitted;
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services;
• Access or use the Services for any commercial purposes;
• Attempt to decompile, reverse engineer, or disassemble any software contained on the Services;
• Circumvent, disable, or otherwise interfere with security-related features of the Services.

6. User Content

6.1 User Submissions

Certain features of our Services may allow you to submit content (such as reviews, feedback, or forum posts). By submitting content, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

6.2 Representations and Warranties

You represent and warrant that:

• You own or control all rights to the content you submit;
• All content you submit is accurate and not misleading;
• Use of your content will not infringe upon or violate the rights of any third party;
• Your content does not violate these Terms or any applicable law or regulation.

6.3 Monitoring and Enforcement

We have the right, but not the obligation, to monitor, edit, or remove any user content. We may take any action we deem appropriate if user content violates these Terms or we believe it is otherwise objectionable or inappropriate.

7. Prohibited Uses

You agree not to use the Services:

• In any way that violates any applicable federal, state, local, or international law or regulation;
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent;
• To impersonate or attempt to impersonate VerdantVoucher, a VerdantVoucher employee, another user, or any other person or entity;
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services;
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services;
• To use any robot, spider, or other automatic device, process, or means to access the Services for any purpose;
• To introduce any viruses, Trojan horses, worms, logic bombs, or other malicious code;
• To attack the Services via a denial-of-service attack or a distributed denial-of-service attack.

8. Third-Party Content and Links

The Services may contain links to third-party websites, resources, or services that are not owned or controlled by VerdantVoucher. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we are not responsible or liable for any damage or loss caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. Disclaimer of Warranties

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VERDANTVOUCHER EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

EDUCATIONAL CONTENT PROVIDED THROUGH OUR SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE CONSIDERED PROFESSIONAL ADVICE. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM FOLLOWING OUR EDUCATIONAL CONTENT.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VERDANTVOUCHER, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
• ANY CONTENT OBTAINED FROM THE SERVICES; OR
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless VerdantVoucher, its affiliates, and their respective officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the Commonwealth of Pennsylvania, in each case located in the City of Pittsburgh and County of Allegheny. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim against VerdantVoucher, you agree to attempt to resolve the dispute informally by contacting us at legal@verdantvoucher.com. We'll try to resolve the dispute by contacting you via email. If a dispute is not resolved within 30 days of submission, you or VerdantVoucher may proceed with filing a formal claim.

13.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services that cannot be resolved informally shall be determined by binding arbitration in Pittsburgh, Pennsylvania, before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures.

13.3 Class Action Waiver

YOU AND VERDANTVOUCHER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and VerdantVoucher concerning the Services.

14.2 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14.4 Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without our prior written consent, but may be assigned by us without restriction.
